1. Introduction

These Terms & Conditions govern your use of southwen.com and any service engagement with South-Western Energy Nigeria Limited (“SWEN,” “we,” “us,” or “our”), a subsidiary of Levenile Group. By requesting a quotation, signing a service agreement, or otherwise engaging SWEN, you (“Client,” “you”) agree to these Terms. Where a signed service agreement exists for a specific project, that agreement takes precedence over these general Terms in the event of a conflict.

2. Our Services

SWEN provides power and electrical engineering services, including:

  • Industrial and commercial generator supply, installation, and maintenance
  • Solar energy system design, supply, and installation (grid-tied, off-grid, hybrid)
  • Inverter and battery backup system supply and installation
  • Electric vehicle (EV) charging infrastructure installation
  • Electrical engineering, wiring, and distribution board installation
  • CCTV and security system design, installation, and monitoring
  • Ongoing maintenance, monitoring, and support plans

Specific scope, equipment specifications, and pricing for your project are set out in your quotation or service agreement.

3. Site Assessment and Quotations
  • Quotations are based on the information and site access provided at the time of assessment. Material changes to site conditions discovered during installation may result in a revised quotation.
  • Quotations are valid for the period stated on the quotation document (typically 30 days unless otherwise specified).
  • A formal site assessment may be required before a final quotation is issued for generator, solar, or wiring projects.
4. Project Timelines
  • Timelines provided at quotation stage are estimates. Actual delivery may be affected by equipment lead times, site access, permitting, or weather conditions.
  • We will communicate any material delay and a revised timeline as soon as reasonably possible.
5. Client Responsibilities

You agree to:

  • Provide accurate site information, electrical load requirements, and access for assessment and installation
  • Secure any necessary permits or landlord/property approvals for installation work
  • Ensure a safe working environment for our installation personnel
  • Make payments according to the agreed schedule (typically deposit, milestone, and completion payments)

We may pause work where site access, required approvals, or payments are not provided as agreed.

6. Pricing and Payment
  • Prices are exclusive of VAT unless stated otherwise.
  • Standard payment structure: deposit on signing, milestone payment(s) during installation, and final payment on commissioning — exact terms confirmed in your service agreement.
  • Late payment may result in suspension of ongoing work.
  • Equipment pricing (generators, solar panels, batteries) may be subject to change between quotation and order confirmation due to import cost or currency fluctuations; we will notify you of any material change before proceeding.
7. Warranties
  • Installation workmanship is warranted for a period specified in your service agreement (typically 12 months from commissioning), covering defects in installation.
  • Equipment (generators, solar panels, inverters, batteries) is covered by the relevant manufacturer’s warranty; SWEN will assist with warranty claims but is not the warrantor of manufacturer defects.
  • Warranties do not cover damage from misuse, unauthorized modification, power surges beyond system rating, or lack of agreed routine maintenance.
8. Limitation of Liability
  • To the fullest extent permitted by Nigerian law, SWEN is not liable for indirect or consequential losses (e.g., business interruption, data loss) arising from system downtime, except where caused by our gross negligence or willful misconduct.
  • Our total liability for any claim is limited to the fees paid for the specific project or service giving rise to the claim, unless a signed service agreement states otherwise.
  • Nothing in these Terms limits liability that cannot be excluded under Nigerian law, including liability for death or personal injury caused by negligence.
9. Maintenance and Monitoring Services
  • Where you subscribe to a maintenance or remote monitoring plan, service terms (frequency, response times, coverage) are set out in your plan agreement.
  • Emergency call-out response times depend on plan tier and location; specific SLAs are confirmed at signup.
10. Force Majeure

Neither party is liable for delay or failure to perform due to circumstances beyond reasonable control, including natural disasters, national grid failures, import/supply chain disruption, or government action.

11. Termination
  • Either party may terminate a service agreement per the notice period stated in that agreement.
  • We may suspend or terminate services immediately for significantly overdue payment, unsafe site conditions, or breach of these Terms.
12. Governing Law and Dispute Resolution
  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • Disputes will first be addressed through good-faith negotiation, then mediation/arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023, before litigation.
  • The courts of Lagos State, Nigeria have jurisdiction over unresolved matters.
